These Terms of Service constitute a binding legal agreement. Please read them carefully. Section 16 contains a binding arbitration provision and a class-action waiver that affect how disputes between you and AIPX3 are resolved.
These Terms of Service (the "Terms") are a binding agreement between you ("you," "your," or "User") and AIPX3 Inc., a Washington State C corporation ("AIPX3," "Company," "we," "us," or "our"). They govern your access to and use of the website located at aipx3.com and any associated subdomains (the "Website"), the interactive demonstrations and analytical tools made available through the Website, our email and informational communications, and any products or services we may offer (collectively, the "Services").
By accessing or using the Website or Services, by submitting information to us, or by clicking to accept these Terms where that option is presented, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Website or Services.
If you access or use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
The Services are intended for use by insurance, actuarial, financial, and related industry professionals and other authorized business users. You must be at least 18 years of age and capable of forming a binding contract to use the Services. The Services are offered from the United States and are intended for users located in the United States; we make no representation that the Services are appropriate or available for use in other jurisdictions.
AIPX3 develops analytical software for continuous reserve validation and actuarial and risk intelligence for the insurance industry. The Website currently serves as an informational, demonstration, and sign-up resource as the Company continues development of its commercial offering. Interactive features compute results in your browser for demonstration purposes.
You acknowledge that the Services are provided for evaluation and informational purposes, that features and availability may change, and that the Company may add, modify, suspend, or discontinue any aspect of the Services at any time without liability.
The Services, including all Content and Sample Output, are provided for general informational and illustrative purposes only and do not constitute, and must not be relied upon as, actuarial, legal, accounting, tax, investment, financial, or other professional advice. Nothing in the Services constitutes a statement of actuarial opinion, an actuarial certification, an audit or assurance opinion, a solicitation, or a recommendation to buy, sell, or hold any security or insurance product.
Sample Output is illustrative and is derived from anonymized, synthetic, or publicly available data; it does not represent the actual results, reserves, capital position, or financial condition of any identified or identifiable company, and it does not reflect a track record of actual outcomes. You remain solely responsible for your own analyses, judgments, and decisions, and for engaging a qualified appointed actuary and other professional advisers as appropriate. Your reliance on any Content or Sample Output is at your own risk.
The Website may contain forward-looking statements regarding planned features, roadmaps, timelines, and capabilities. Such statements reflect current expectations only, are subject to change without notice, and are not commitments, guarantees, or representations that any future capability will be developed, released, or available.
Subject to your compliance with these Terms, AIPX3 grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Website and Services for your internal, lawful business and evaluation purposes. All rights not expressly granted are reserved.

If and when account-based features become available, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your account, and you agree to notify us promptly of any unauthorized use. AIPX3 is not liable for any loss arising from your failure to protect your credentials.
You retain ownership of your User Submissions. You grant AIPX3 a non-exclusive, worldwide, royalty-free license to use, store, and process User Submissions solely to operate, provide, secure, and improve the Services and to respond to you. Do not submit confidential, proprietary, or regulated data through the Website or unencrypted email; the Website is not intended for the transmission of sensitive or confidential information. If you provide suggestions, ideas, or feedback ("Feedback"), you grant AIPX3 a perpetual, irrevocable, worldwide, royalty-free license to use the Feedback for any purpose without obligation to you.
The Website, the Services, and all Content, including the underlying software, models, calculations, designs, text, and graphics, are owned by AIPX3 Inc. or its licensors and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. "AIPX3," the AIPX3 logo, and related names and marks are trademarks of AIPX3 Inc. You may not use them without our prior written consent.
The Website may incorporate or link to third-party services, content, data sources, and fonts. We do not control and are not responsible for third-party services or content, and your use of them may be governed by separate terms and privacy policies. Reference to any third party does not imply endorsement.
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and disclose information. By using the Services, you consent to those practices.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AIPX3 INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF AIPX3 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF AIPX3 FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO AIPX3 FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE FOREGOING LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless AIPX3 Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your use of the Website or Services; (c) your violation of any applicable law or any third-party right, including intellectual property or privacy rights; or (d) any User Submission you provide.
Governing law. These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws principles, and, where applicable, the Federal Arbitration Act.
Informal resolution. Before initiating any formal proceeding, you agree to first contact us at craig@aipx3.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
Binding arbitration. Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be resolved by final and binding arbitration administered on an individual basis under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will be seated in the State of Washington, and judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. You and AIPX3 agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.
Exceptions and opt-out. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information. You may opt out of this arbitration provision by sending written notice to craig@aipx3.com within thirty (30) days of first accepting these Terms. If the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court, but the remainder of this Section will continue to apply. To the extent any dispute proceeds in court, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Washington.
These Terms remain in effect while you access or use the Website or Services. We may suspend or terminate your access at any time, with or without notice, for any reason, including any suspected violation of these Terms. Upon termination, the licenses granted to you end, and Sections that by their nature should survive (including Sections 5, 9, 10, 13, 14, 15, 16, and 21) will survive.
We may modify these Terms from time to time. When we make changes, we will update the "Effective Date" above and post the revised Terms on the Website. Material changes may be communicated through the Website or by email where appropriate. Your continued access to or use of the Website or Services after the revised Terms take effect constitutes your acceptance of them.
AIPX3 will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, labor disputes, internet or utility failures, governmental action, or third-party service outages.
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.
These Terms, together with the Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and AIPX3 regarding the Website and Services and supersede all prior or contemporaneous understandings. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it. Headings are for convenience only. There are no third-party beneficiaries to these Terms.
